If you no longer need a company, you can close it by way of Member’s Voluntary Deregistration. There are some pre-conditions before one can apply for deregistration which are:


  1. All members of the company agree to the deregistration
  2. The company is not carrying on any business
  3. The company's assets are worth less than $1,000
  4. The company has paid all fees and penalties payable under the Corporations Act 2001
  5. The company has no outstanding liabilities
  6. The company is not a party to any legal proceedings

Procedure and time to be taken for voluntary deregistration

  • Upon lodgement of the ASIC form for Voluntary Deregistration, they will notify us of approval of the application (normally within two weeks). If approved ASIC will publish a notice of the proposed deregistration on the Published notices website at insolvencynotices.asic.gov.au. Two months after the notice has been published, your company may be deregistered. ASIC will send a confirmation notice. Once a company is deregistered, it indicates the end of the obligations of the company officeholders. In the ASIC register, your registered company status will be displayed as deregistered.
  • We will provide you with all the minutes and resolutions and other documents required for execution, and lodge Form 6010 with ASIC. If you are our annual subscriber, we will keep records of the same digitally as an official company record.

  • Minutes of the director’s meeting
  • Notice and Minutes of Shareholders’ meeting/Letter of Consent
  • Copy of ASIC Forms
  • Confirmation of approval by ASIC – Usually after 2 weeks of application
  • Confirmation Notice by ASIC of deregistration - Usually after 2 months of approval of the application

How to Order

In order for us to lodge the forms with ASIC you need to appoint us as Registered ASIC Agent of the company if you have not appointed us previously.   Download Order Form


Steps:

  1. Download the forms and invoice from the links. (Annual subscribers do not pay)
  2. Fill out the form and return it to us along with the payment receipt at companychanges@trustdeed.com.au
  3. We will prepare the required documents and ASIC forms and send you for review and signature.
  4. You review and sign the form and documents and return them to us.
  5. We will lodge the form with ASIC on the same day and send you the current company extract from ASIC.

Note: If you are not an annual subscriber, we will cease ourselves as your ASIC agent immediately after completing the service.
